1. Parties and activation
This draft concerns the two parties to a match and exploration of that collaboration. In the PoC, activation is recorded in test mode after both sides accept the terms and complete simulated payment, before contacts are revealed. Real enforceability requires identification of the legal entities and authorized representatives.
2. Confidential information
This includes non-public technical, commercial and financial information, plans, know-how and contact details disclosed for the collaboration and marked confidential or reasonably identifiable as such.
3. Mutual obligations
Each party uses information only to evaluate the collaboration, protects it with reasonable care and shares it only with authorized persons who need to know and are similarly bound. Commercial exploitation or copying beyond the agreed purpose is prohibited. No intellectual property rights are transferred.
4. Exceptions and mandatory disclosure
Information already public without breach, lawfully known, independently developed or lawfully obtained from a third party is excluded. Legally required disclosure is limited to what is necessary; the other party is notified where permitted.
5. End of discussions and return
At the end of discussions or on request, confidential information must be returned or deleted, except necessary lawful retention and secure backups. Trade secrets remain protected while they remain secret. The duration of other obligations and jurisdiction must be finalized through legal review before real use.
